Terms of Service

1. The service. Free weekly reports on your coding-agent traces, delivered through the codetraces tool, our website and email.
2. Eligibility and account. You must be 18 or older, and each email address may hold one account. You are responsible for activity from your enrolled devices, and you can revoke a device at any time.
3. The exchange. The service is free. In return you grant Michele Dallachiesa (“we”, see the imprint) a worldwide, perpetual, irrevocable, non-exclusive, royalty-free, transferable and sublicensable license to store, copy, analyze, modify, create derivative works from, and process your traces, in order to:
   1. provide the service to you;
   2. create aggregate analytics, benchmarks and recommendations, which we share with users and may publish;
   3. create de-identified datasets and derived products, and use, license, sell or otherwise commercialize them, including to train, fine-tune or evaluate AI models.

   De-identification is described in the Privacy Policy. We do not sell data that identifies you, and we do not show your raw traces or reports to other users.

   When you delete your account, we delete your traces, the copies kept for analysis, and your reports. Aggregate outputs and de-identified datasets created before then are not recalled. <Counsel: check that a perpetual license over de-identified derivatives, and the bundling of consent with the free service, hold up under consumer and data-protection law.>

4. Your content and responsibilities. You keep ownership of your traces. You confirm that you have the right to upload them and to grant the license above. Traces can contain your employer's or clients' code and information, so do not upload traces you are not allowed to share, and use project exclusions. Do not upload unlawful content.
5. Acceptable use. Do not try to access other users' data or bypass security. Do not store anything other than traces, exceed the quotas, or create accounts automatically.
6. Reports. Reports are generated automatically, partly by AI, and may contain errors. They are for information only, and savings figures are estimates.
7. Availability and changes. The service is provided free and as is. We may change it or shut it down, with 30 days' notice before shutting it down.
8. Termination. You can leave at any time with codetraces cloud leave. We may suspend accounts that breach these terms.
9. Disclaimers and liability. To the extent the law allows, we give no warranties and our liability is limited to <EUR 100>. Nothing here limits liability that cannot be limited by law, or your rights as a consumer.
10. Privacy. The Privacy Policy applies.
11. Changes to these terms. We email you at least 30 days before a material change. Continued use means acceptance; if you do not accept, you can leave.
12. Governing law. German law applies, and the courts of Munich, Germany, have jurisdiction where the law allows. Mandatory consumer protections of your country of residence still apply.
